1. Our Services
NAYI provides sourcing and procurement support for clients seeking products and suppliers in China. Depending on the agreed scope of work, our services may include supplier research and verification, factory visits, product sourcing, quotation coordination, sample coordination, quality inspections, order monitoring, shipping coordination, and related procurement support.
The exact services, pricing, responsibilities, and deliverables for a particular project may be agreed separately with the client in writing.
2. Quotations and Pricing
Prices, quotations, estimated costs, production times, shipping costs, and other commercial information provided by NAYI may be based on information received from manufacturers, suppliers, logistics providers, or other third parties.
Unless expressly stated otherwise, quotations may change due to changes in supplier pricing, raw material costs, exchange rates, shipping costs, taxes, duties, specifications, quantities, or other circumstances outside NAYI’s reasonable control.
3. Client Responsibilities
Clients are responsible for providing accurate product specifications, quantities, quality requirements, packaging requirements, deadlines, destination information, and any other information necessary for the project.
The client is responsible for reviewing and approving samples, specifications, quotations, and other relevant project details before production or purchasing proceeds where approval is required.
4. Suppliers and Manufacturers
NAYI may assist clients in identifying, communicating with, evaluating, or coordinating with independent suppliers and manufacturers.
Unless expressly agreed otherwise in writing, suppliers and manufacturers are independent third parties and are not employees or agents of NAYI.
NAYI will use reasonable care in supplier sourcing and verification but cannot guarantee the future performance, financial condition, or conduct of an independent supplier.
5. Samples and Product Approval
Where samples or pre-production products are provided for approval, the client is responsible for reviewing and approving them before mass production.
Changes requested after approval may result in additional costs, delays, or changes to production schedules.
6. Quality Control and Inspections
Where quality-control or inspection services are included, NAYI will perform or arrange inspections according to the agreed requirements and inspection scope.
Inspections reduce procurement risk but cannot guarantee that every individual unit in an order will be completely free from defects.
Inspection results represent the condition and findings observed at the time and within the scope of the inspection.
7. Production and Delivery Times
Production, inspection, shipping, and delivery dates may be estimates unless expressly guaranteed in writing.
NAYI is not responsible for delays caused by circumstances outside its reasonable control, including supplier delays, shipping carriers, customs procedures, port congestion, government actions, natural events, or other unforeseen circumstances.
8. Shipping, Customs, Taxes and Duties
Where NAYI assists with shipping or logistics, third-party carriers and logistics providers may be used.
Unless otherwise agreed in writing, the client is responsible for applicable import duties, customs charges, taxes, permits, certifications, and compliance requirements in the destination country.
9. Payments
Payment terms for NAYI services and procurement projects will be communicated and agreed with the client before the relevant work or order proceeds.
Where payments to suppliers or other third parties are required, applicable payment schedules and conditions will be communicated to the client.
10. Cancellations and Changes
Cancellation, refund, or modification rights may depend on the stage of the project and commitments already made to suppliers or other third parties.
Costs already incurred, deposits paid, customized production, completed services, or non-refundable third-party charges may not be refundable.
11. Intellectual Property
The NAYI name, branding, website design, text, graphics, and other original website content may not be copied, reproduced, or commercially used without permission, except where permitted by applicable law.
Third-party trademarks, product names, and other intellectual property remain the property of their respective owners.
12. Limitation of Liability
To the extent permitted by applicable law, NAYI will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

We aim to keep information on our website accurate and current, but website content is provided for general informational purposes and may be updated without notice.
Information on the website does not constitute a binding quotation or contractual commitment unless expressly confirmed by NAYI in writing.
